Terms of Service

1. Acceptance of Terms

2. Service Description

GrowthReachPoint provides growth marketing and lead generation services including, but not limited to: demand generation systems, automated outbound outreach, high-converting acquisition funnels, content marketing, SEO optimization, pipeline analytics, and account-based marketing campaigns. The specific scope, deliverables, timelines, and pricing for each service are agreed upon in a separate statement of work or service agreement.

3. Client Obligations

The Client agrees to:

  • Provide accurate and complete information necessary for the performance of services
  • Respond to requests for feedback, approvals, or content within agreed-upon timelines
  • Ensure that all content provided for use in campaigns does not infringe third-party intellectual property rights
  • Comply with all applicable laws, including those relating to email marketing and data protection
  • Maintain confidentiality of all proprietary methodologies and strategies shared by GrowthReachPoint

4. Payment Terms

Unless otherwise agreed in writing:

  • All invoices are due within 14 days of the invoice date
  • Late payments will incur a penalty of 1.5% per month on the outstanding balance
  • Services may be suspended if payment is not received within 30 days of the due date
  • All prices are quoted in EUR and are exclusive of applicable VAT unless stated otherwise
  • Setup fees and one-time deliverables are non-refundable upon commencement of work

5. Intellectual Property

Upon full payment, the Client receives a perpetual, non-exclusive license to use all deliverables produced specifically for their campaigns. GrowthReachPoint retains ownership of all proprietary tools, templates, methodologies, software, and frameworks used in the delivery of services. Nothing in these terms transfers ownership of GrowthReachPoint's underlying technology or trade secrets to the Client.

6. Limitation of Liability

To the maximum extent permitted by Italian law, GrowthReachPoint's total aggregate liability for any claims arising out of or related to these terms or the services provided shall not exceed the total fees paid by the Client in the 12 months preceding the claim. GrowthReachPoint shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This obligation survives the termination of the agreement for a period of 24 months. Confidential information shall not include information that is publicly available, independently developed, or required to be disclosed by law.

8. Termination

Either party may terminate the service agreement with 30 days' written notice. GrowthReachPoint reserves the right to terminate immediately in the event of material breach, non-payment, or conduct that damages its reputation. Upon termination, all outstanding invoices become immediately due and payable.

9. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Italy. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Padua, Italy.

Refund & Reimbursement Policy

1. General Policy

GrowthReachPoint (VIA VALIERA 14, 35014 FONTANIVA, Italy) is committed to delivering high-quality growth marketing and lead generation services. Due to the bespoke and service-based nature of our work, refunds are handled on a case-by-case basis as outlined below.

2. Service Cancellation Before Commencement

If a service is cancelled before any work has commenced, a full refund of any advance payments will be issued within 14 business days. A written cancellation request must be sent to [email protected].

3. Service Cancellation During Execution

If a service is cancelled after work has begun:

  • Within the first 25% of the project timeline: 75% refund of the total project fee
  • Between 25%-50% of the project timeline: 50% refund of the total project fee
  • Beyond 50% of the project timeline: No refund will be issued; the client retains all deliverables completed to date

Work completed up to the point of cancellation will be delivered to the Client regardless of refund eligibility.

4. Monthly Retainer Services

For ongoing monthly retainer services (e.g., outreach management, content marketing, analytics monitoring):

  • Cancellation requires 30 days' written notice
  • The current billing cycle will be completed and charged in full
  • No partial-month refunds will be issued
  • All campaign assets, data, and accounts will be transferred to the Client within 10 business days of the final billing cycle

5. Non-Refundable Items

The following are non-refundable:

  • Setup fees and initial onboarding charges
  • Third-party tool subscriptions or licenses procured on behalf of the Client
  • Ad spend or media buying budgets managed by GrowthReachPoint (refunded by the advertising platform per their own policies)
  • Services rendered in full that meet the agreed-upon specifications

6. Dissatisfaction and Dispute Resolution

If the Client is dissatisfied with the quality of deliverables:

  • A written complaint must be submitted within 7 days of delivery
  • GrowthReachPoint will review the complaint and respond within 5 business days
  • If the deliverable does not meet the specifications outlined in the statement of work, GrowthReachPoint will revise the work at no additional cost
  • If revision is not possible or the dispute cannot be resolved amicably, the parties agree to mediation before pursuing legal remedies

7. How to Request a Refund

To request a refund, please send an email to [email protected] with:

  • Your full name and company name
  • Invoice or reference number
  • Reason for the refund request
  • Preferred refund method (original payment method or bank transfer)

Approved refunds will be processed within 14 business days of approval.

8. Governing Law

This Refund Policy is governed by the laws of Italy. Any disputes arising from this policy shall be subject to the jurisdiction of the courts of Padua, Italy.
